Article III.2 Powers

MEMBERSHIP ON THE BOARD OF DIRECTORS IS DETERMINED BY ELECTION BY THE MEMBERSHIP AND BY APPOINTMENT AS OUTLINED IN ARTICLE IV.3.

Article III.3 Initiative Power

The membership holds the power to recall any Board Member and to change the policies of the Foundation and its broadcasting facilities by initiative and vote. Petitions presented to the Board containing signatures of 10% of the membership on the roll will precipitate a vote on the issue by the membership. All expenses shall be borne by the petitioner. Written notices will be mailed by the Board to the membership THIRTY (30) DAYS prior to the meeting called for the purpose of voting on the matter. The vote will be by secret ballot in person or by signed, mailed ballot. Two-thirds of the majority of votes will enact the change. This power cannot be altered except by a 2/3 vote of the membership. NOTICE OF THE PETITION AND ITS CONTENTS SHALL BE POSTED IN A CONSPICUOUS PLACE AT THE STATION, IN THE NEWSLETTER AND ON THE STATION'S WEB-SITE. REGULAR ANNOUNCEMENTS GIVING NOTICE OF THE PENDING ELECTION ON THE PETITION SHALL BE BROADCAST BEGINNING ONE MONTH BEFORE THE DATE BALLOTING IS SCHEDULED TO BEGIN AND CONTINUE TO THE DATE BALLOTING ACTUALLY BEGINS AND/OR ENDS.

Article IV.1 Purpose

The governing body of the FCB shall be the Board, which shall establish and approve long and short term AND LONG TERM goals, strategies and policies. THE BOARD SHALL BE RESPONSIBLE FOR THE SELECTION, NEGOTIATION OF THE EMPLOYMENT CONTRACT AND EVALUATION AND TERMINATION OF ALL EMPLOYEES OF THE FCB.

Article IV.2 Number

THE BOARD SHALL CONSIST OF UP TO 16 MEMBERS.

Article IV.3 Membership

BOARD MEMBERSHIP SHALL BE CONSTITUTED AS FOLLOWS:

NO MORE THAN 10 MEMBERS WHO SHALL BE ELECTED BY THE MEMBERS IN ACCORDANCE WITH ARTICLE IV.6

NO MORE THAN 5 MEMBERS WHO MAY BE APPOINTED BY THE BOARD ONLY IN ACCORDANCE WITH ARTICLE IV.6

ONE MEMBER ELECTED BY THE VOLUNTEERS WHO HAVE ACHIEVED MEMBERSHIP IN THE FCB BY PROVIDING AT LEAST TEN HOURS PER MONTH OF VOLUNTEER SERVICE.

THE STATION SHALL MAINTAIN A CURRENT LIST OF ALL VOLUNTEERS WHO HAVE EARNED MEMBERSHIP AS A RESULT OF VOLUNTEER SERVICE.

Article IV.4 Term

THE TERM OF OFFICE FOR ALL BOARD MEMBERS, ELECTED AND APPOINTED, SHALL BE TWO (2) YEARS.

Article IV.6 Elections and APPOINTMENTS

ELECTION OF BOARD MEMBERS SHALL TAKE PLACE EVERY TWO YEARS.

IF AN ELECTED BOARD MEMBER DOES NOT COMPLETE HIS OR HER TERM, THE BOARD MAY APPOINT A REPLACEMENT TO FINISH THE TERM UNTIL THE NEXT REGULARLY SCHEDULED BOARD ELECTION. THE INTERIM BOARD MEMBER SHALL HAVE THE SAME RIGHTS AND RESPONSIBILITIES AS ALL OTHER BOARD MEMBERS.

BOARD MEMBERS MAY APPOINT OTHER BOARD MEMBERS BY A MAJORITY OF ALL BOARD MEMBERS. APPOINTED BOARD SHALL HAVE ALL THE RIGHTS AND RESPONSIBILITIES OF FCB BOARD MEMBERSHIP.

Article IV.6a General Membership Election Process

Article IV.6a1 Nomination

IN ORDER TO BE ELIGIBLE FOR ELECTION TO THE BOARD AS ONE OF THE NOT MORE THAN TEN (10) ELECTED BOARD MEMBERS . . . (rest remains the same)

Article IV.6a2 Notice

NOTICE OF INTENT TO RUN FOR THE BOARD SHALL BEGIN ONE MONTH PRIOR TO THE GENERAL ELECTION. THE DEADLINE FOR AN INDIVIDUAL TO STATE HIS OR HER INTENTION TO RUN FOR THE BOARD AND COMPLY WITH THE NOMINATION REQUIREMENTS SHALL BE ONE MONTH BEFORE THE DATE VOTING IS SCHEDULED TO BEGIN. NOTICE SHALL BE DEFINED AS A LETTER OF INTENT TO THE CURRENT BOARD. NOTICE OF ANY INDIVIDUAL'S CANDIDACY FOR THE BOARD SHALL BE POSTED IN A CONSPICUOUS PLACE AT THE STATION, IN THE NEWSLETTER AND ON THE STATION'S WEB-SITE. REGULAR ANNOUNCEMENTS GIVING NOTICE OF THE PENDING ELECTION SHALL BE BROADCAST BEGINNING ONE MONTH BEFORE THE DATE BALLOTING IS SCHEDULED TO BEGIN AND CONTINUE TO THE DATE BALLOTING ACTUALLY BEGINS AND/OR ENDS.

Article IV6a3 Voting

THE SELECTION OF ELECTED BOARD MEMBERS SHALL BE THOSE MEMBERS WITH THE MOST VOTES which shall be done by signed, mailed ballot or delivered in person . . . rest remains the same).

Article IV7 Inauguration of New Board Members

IN THE EVENT OF A VACANCY OF AN ELECTED BOARD POSITION . . . (rest remains the same). . . APPOINTMENT TO THE BOARD SHALL REQUIRE A MAJORITY OF BOARD MEMBERS.

Article V1 Hiring and Firing

THE BOARD SHALL HOLD THE POWER TO HIRE AND FIRE ALL EMPLOYEES.

Article V3 Grievance Policy & Procedure

THE BOARD SHALL INSTITUTE AND MAINTAIN A GRIEVANCE POLICY AND PROCEDURE FOR VOLUNTEERS.

Article IX Amendments

THESE BY-LAWS MAY ONLY BE AMENDED, ALTERED OR REPLACED BY A VOTE OF THE MEMBERSHIP. WRITTEN NOTICE OF PROPOSED CHANGES MUST BE RECEIVED BY MEMBERS AT LEAST THIRTY (30) DAYS PRIOR TO A SPECIAL MEETING CALLED FOR THAT PURPOSE. TWO- THIRDS OF THE MEMBERSHIP VOTING IN PERSON OR BY SIGNED MAILED BALLOT MUST APPROVE THE CHANGES FOR PASSAGE.
